1. Intellectual Property Rights
Any and all intellectual property rights (including any trademarks, copyrights and any other kinds of Intellectual property rights, hereinafter "Intellectual Property Rights") in any and all contents, text, images, data, information and other material ("Content") displayed or available on TTPP are the property of JETRO or of the designated User who registered, edited Content, and are protected by applicable Intellectual Property Laws.
2. Authorized and Prohibited Uses
(1) Authorized Use
User may use TTPP only for the intended purposes of TTPP, so long as User complies with these Terms and Conditions and applicable laws. User
may print copies of the TTPP Content only for its own usage.
(2) Prohibited Use
No User may otherwise reproduce, download, modify, sell, publish, distribute,
display on other location besides TTPP, or provide to other parties through any
activities mentioned herein, all or part of TTPP or the Content, without the
prior written permission of JETRO. No User may print and provide copies of
all or part of TTPP or the Content to other parties, without the prior written
permission of JETRO. User will not infringe upon any Intellectual Property Rights, or dilute or remove or modify any contents displayed on TTPP.
"Malicious Illegal Utilization" and "Illegal Utilization" of TTPP defined in article III paragraph 5 are strictly prohibited.
3. User Content
Any Content that User submits to TTPP or to JETRO in order to use TTPP will be deemed to be no confidential and nonproprietary and may be disclosed through TTPP or through other trade organizations, to unknown persons on a worldwide basis, without control by JETRO, including by browsing,
printing and other use by other persons.
User will be responsible to guarantee that Content submitted by User belongs to that User.
User will not submit Content to TTPP or to JETRO except for that which is fully authorized for purposes of TTPP and these Terms and Conditions and will not infringe upon any person's intellectual property rights, including moral rights.
JETRO shall have the royalty-free, perpetual, irrevocable, sub licensable, non-exclusive right and license to translate, reproduce, sell, publish, distribute, modify, display, link to or use, in any form or media, any Content that User submits to TTPP or to JETRO.
Any information submitted to JETRO by User may be used by JETRO for market research or similar purposes.
JETRO does not endorse any User, Content, product or service that may be browsed on TTPP.
4. Password Security
User will keep User's password confidential and will be responsible for any and all damage arising from the use of User's password by another parties.
III. TTPP System and Registration Administration
1. Access Arrangements and Fees
User's registration and use of TTPP shall be in accordance with any and all procedures, forms, formats, displays and operating times which may be determined, specified or modified by JETRO in its discretion.
User is responsible for all software, hardware, interconnections, fees, expenses, costs and taxes for User to access or use TTPP.
User authorizes the placement and use of "cookies," on User's environment for purposes of TTPP.
JETRO charges no fee at this time for using TTPP, but reserves the right to impose or modify fees in connection with use of TTPP at any time without liability.
JETRO shall endeavor to issue a general notice on TTPP with regard to any imposition of fees or modifications to TTPP.
2. Registration Obligations
User is allowed to register and display Content for a maximum of ten (10), per User.
User is requested to provide a reasonable, informative and timely response, which may include brochures, samples or similar items, to any request for information User receives in connection with a registration on TTPP.
User is requested to provide JETRO with its current e-mail address. When User changes it, User is requested to provide with new e-mail address promptly.
JETRO reserves the right to delete User from any JETRO database in the event that User does not provide an e-mail address, or that JETRO has any problem to contact to User through provided e-mail address.
User will not link any other website to TTPP without the prior written permission of JETRO.
No such link shall be made to any page or frame of TTPP except to the top page of the TTPP System (English: https://www.jetro.go.jp/ttppe/; Japanese: http://www.jetro.go.jp/ttppj/).
In addition, any link to TTPP must be immediately followed by notice to JETRO via e-mail at firstname.lastname@example.org.
Moreover, in the event JETRO deems User's linking practices in relation to the TTPP System to be inappropriate, JETRO may provide notice to the User concerning removal or modification of the inappropriate link, and User agrees to comply with any and all requirements of JETRO relating thereto.
4. Authority of TTPP System Administration
JETRO may in its discretion do the following activities without liability or prior notice at any time.
(1) to modify, edit, translate, suspend, restrict access to or terminate TTPP, these Terms and Conditions, the Content or any link.
(2) to terminate the browsing, registration and use of TTPP by any User for any reason, including for any breach of these Terms and Conditions.
(3) to hold the right to determine that the registered content would be uploaded and open to public, or not for any reason, including for any breach of these Terms and Conditions.
5. Countermeasures for Illegal Users
(1) JETRO will regard the following activities as "Malicious Illegal Utilization" of TTPP, and will delete the ID of such User ("MIU User") without any advance notification, and will send a "Warning e-mail message" to the parties who have contacted to MIU User through TTPP. JETRO will disclose this MIU User information to the public through the procedure that JETRO will decide. JETRO will not be liable for any damages or losses caused to MIU User, including direct, indirect, consequential, special, incidental or punitive damages and lost profit.
"Malicious Illegal Utilization" of TTPP means the activities
A) for the purpose of illegal finance operation or money laundering, to solicit other User to open a bank account by deceptive manners such as pretending to finance, to request the asset management to the User, etc.;
B) for the purpose of obtaining a VISA, to acquire the immigration invitation and then to be out of communication or abscond;
C) to unreasonably charge such as for a commission and/or registration fee for tendering a project, an advance for oversea temporary remittance, and an oversea trade cost; and
D) to cause a financial damage to the other User by fraud, to violate laws or to apprehensively commit a crime.
(2) JETRO will regard the following activities as "Illegal Utilization" of TTPP, and will delete the ID of such User ("IU User") without any advance notification, and will send a "Warning e-mail message" to the parties who have contacted to IU User through TTPP. JETRO will not be liable for any damages or losses caused to IU User, including direct, indirect, consequential, special, incidental or punitive damages and lost profit.
"Illegal Utilization" of TTPP means the activities;
A) to hamper or apprehensively hamper the corporate strategic activities or official trading agency activities, including but not limited to the brand strategy and marketing development, by infringement on the rights for brand or by illegal trade transactions;
B) to annoy or cause damage or possibly annoy or cause damage to the other User by the trouble of trade transaction or settlement;
C) to infringe the intellectual property right of JETRO or the other User;
D) to cause the other User to claim to JETRO by repeatedly sending such a User e-mail for solicitation or sales campaign; and
E) to breach these Terms and Conditions.
(3) JETRO will not accept TTPP re-registration by MIU User or IU User.
6. Import/Export Regulation
User will not submit any Content to TTPP or conduct any technology transaction through the TTPP program in violation of or in possible violation of applicable import/export control, espionage or national security laws.
JETRO will not accept and/or will delete the registration of the items including but not limited to foods and drugs prohibited to import into Japan under Japanese laws, import/export control laws, or the Washington Treaty or other related treaties.
JETRO has appropriate measures in place against unauthorized accesses to the JETRO Website using firewalls and virus detection systems. JETRO also implements appropriate processes for secure data transmission using data encryption. Through these measures and processes, JETRO seeks to protect your personal information against unauthorized accesses, leakage or alteration.
Under the Internet environment, however, no data protection method or combination of methods can be guaranteed to be fail-safe. JETRO does not guarantee that JETRO measures and processes taken to protect such information while you communicate with JETRO via the TTPP System are invulnerable.
IV. User Requirements and Obligations
User will comply with all applicable laws in connection with its use of TTPP.
2. Unsuitable Content and Conduct
(1)User will be prohibited to register and display to TTPP any Content or other material that is illegal, inaccurate and misleading, misappropriated, infringing, dilutive, defamatory, obscene, offensive, or otherwise objectionable. The
registration of incorrect user information will be prohibited.
Multilevel marketing plan might be judged as one of the unsuitable contents.
(2)User will be prohibited to distribute any and all contents, text, images, data,
information and other material ("Content") displayed or available on TTPP, to
the third party, beyond the framework of TTPP system.
User will be prohibited to cause any damage, embarrassment or adverse publicity to JETRO.
(3)User agrees not to attempt to access, search, data mining, download, by using
computer programs or any other tools, that occur with extra frequent sessions or
with extra large amount of query, nor to attempt any other activities that may
interfere with, disrupt or otherwise burden the TTPP.
3. Functional Compatibility
User will submit only Content and material that is functionally and technically compatible with TTPP.
User will be prohibited to damage, corrupt, tamper with or infect with a virus to TTPP, or to any information or telecommunication system of JETRO.
4. User Cooperation and Notification
User will cooperate with all reasonable requests by JETRO and will notify JETRO promptly upon awareness of any actual or suspected breach of these Terms and Conditions by any User or other parties, or unauthorized use or abuse of TTPP.
5. Substitute Registration
In the event JETRO makes a substitute regisration on behalf of a company or other entity, based upon a request from this company or entity which wishes to be registered in JETRO's TTPP database yet does not have internet access or has other difficulties, JETRO will not have any responsibility for any information submitted by this company or entity.
JETRO expressly disclaims any and all warranties of any kind whatsoever relating to such information submitted to JETRO for purposes of substitute registration including, without limitation, as to the merchantability, fitness for a particular purpose, accuracy, completeness and accessibility of such information.
6. Warranty Disclaimers; Limitations on Liability and Remedies
TTPP contains as a convenience to user, content, links and other information submitted by third parties over whom JETRO has no control or responsibility, as well as translations thereof which JETRO may arrange...
JETRO has no obligation to monitor, control or restrict the use of TTPP.
Moreover, JETRO has no obligation to verify any content submitted by a user or to provide any registration or other information concerning any content.
Any content and its links on TTPP are provided on an "as is" basis and are used only at user's sole risk, to the fullest extent permissible by law.
JETRO disclaims all warranties, express or implied, of any kind, regarding TTPP (including its content, hardware, software and links), including as to fitness for a particular purpose, merchantability, title, non-infringement, results, accuracy, completeness, accessibility, compatibility, security and freedom from computer virus.
JETRO will not be liable for any damages or losses, including direct, indirect, consequential, special, incidental or punitive damages and lost profits, in connection with use of the internet, TTPP, its content or its links, however caused, whether in contract, tort, negligence, strict liability or otherwise, even if JETRO has been advised of the possibility of such dameges.
JETRO will not be a party to, and will have no responsibility or liability for, any transaction negotiated or arranged by a user arising in connection with TTPP.
The maximum liability of JETRO will be limited to, in the sole discretion of JETRO, either the (1) correction or deletion of any inaccurate content or link; or (2) refund of fees for TTPP received by JETRO from user, if any.
Some of the above provisions in this section may not be enforceable in an applicable jurisdiction.
User will defend, indemnify and hold harmless JETRO and its affiliates, officers, directors, employees and contractors from any demands, claims, damages, liabilities, expenses or harms, including attorneys fees, arising in connection with User's use of TTPP, online conduct, breach of these Terms and Conditions or dealings or transactions with other persons resulting from use of TTPP.
1. Dispute Resolution; Applicable Law and Forum
JETRO shall not have any responsibility, obligation or reliability whatsoever with respect to any disputes between Users and third parties.
With respect to any and all disputes arising out of TTPP or these Terms and Conditions, JETRO and Users agree to negotiate in good faith and undertake reasonable efforts to cooperate with one another in order to achieve a mutually satisfactory resolution.
TTPP and these Terms and Conditions and any dispute arising in connection therewith shall be exclusively governed by and construed in accordance with the laws of Japan.
The courts of Japan shall have exclusive jurisdiction to adjudicate any dispute arising in connection with TTPP or these Terms and Conditions and any legal proceeding shall be initiated exclusively in the Tokyo District Court, to the maximum extent possible, and no later than one (1) year after the cause of action arises.
Users shall agree to submit to the exclusive personal jurisdiction of the courts of Japan.
2. Modification of these Terms and Conditions
These Terms and Conditions represent the complete agreement between the parties with respect to the subject matters hereof and supersede any prior written or oral agreement, or communication.
JETRO reserves the right to modify these Terms and Conditions at any time without prior notice.
User's continued use of TTPP subsequent to JETRO's notice of modification of these Terms and Conditions shall constitute Users' acceptance of the modified these Terms and Conditions.
If any provision of these Terms and Conditions is held to be invalid or unenforceable for any reason, then the remaining provisions will remain in full force and effect.
User's obligations pursuant to these Terms and Conditions shall survive termination of TTPP, or these Terms and Conditions, or removal of Content given by User, or the termination of use for User.
In these Rules, the user who registers yourself to use TTPP and any entity which the user belongs to or represents is referred as "User", and all of other who access to TTPP is referred as "Visitor".
A. Data Collection
The purpose of the TTPP System is to promote business relationships between companies located in Japan and throughout the world by providing an interactive, user-friendly and useful on-line database containing information submitted by Users for such purpose. Specifically, JETRO collects the following types of information from Users (hereinafter referred to as "User Information"):
1) Company headquarters information, such as company name, address, profits, capital, and number of employees, whether stock is publicly listed, website URL and related information;
2) Company contact information, such as names of managers, addresses, telephone numbers, e-mail addresses and related information;
3) Proposal information, such as title of proposal, content and related information.
In addition to the foregoing, JETRO may collect other type information, such as Users' and Visitors' access logs, in order to allow JETRO to conduct marketing, meet User needs to assist their business, and enhance the features of TTPP System.
Those Users and Visitors information will be accumulated in the JETRO's system, will be processed and will be disclosed to other Users and Visitors. In addition, JETRO reserves the right to process, use, and distribute those other type information to other parties, within the scope of JETRO's activities.
User authorizes the placement and use of "cookies," on User's environment for purposes of TTPP. Users may change the browsers configuration to inactivate cookies.
C. Access to User Information
For Visitors, the TTPP System provides only Proposal information registered in the TTPP program.
For Users, the TTPP System provides TTPP Users profile information as well as Proposal information, and provides additional features such as proposal matching. Please note that, the information provided to other Users is limited to that registered information which a User wishes to publicly disclose.
User can log-in to the TTPP System using User's ID and password, to confirm, update and delete the User's profile information (company's headquarter, contact, and proposal information) , and to change password.
D. Disclosure of User Information
JETRO will, to the extent possible, control User Information, and, except as otherwise set forth herein, not disclose such User Information to third parties.
However, in the event disclosure of any User Information by JETRO is required by law, JETRO may disclose such User Information without the consent of User.
This is the complete agreement between the parties with respect to its subject matter and supersedes any prior agreement or communication.
