An old company with reputed customer looking for some investment as company is seeing good turnaround in business but lacks working capital for executing the orders. We are a Consultant to the company. Our role is mainly of financial advisors.
The Company has been working in the field of manufacturing HVAC (Cooling Towers) for last 30 years. The company has a good brand and is supplier to major Indian Corporate as well as exporting to countries like UAE. The Company is looking to expand and targeting a turnover of 5 times more than it used to do earlier. To execute the orders, the company needs working capital and therefore looking it finance it either through Shares or Debentures etc.
This depends on the nature, quantum and source of funding. If Investor is a company in the same line of business, it can be a case of JV where both participates in operations/management of the Company.
Operations, Marketing, Compliances etc.: The investee is experienced in this line. The existing management will take lead in Marketing/Sales, Operations, HR & improvements in technology.
Overview of the progress: The investee is open about this and role can be assigned according to skills. If investor is just a financial investor then the investor can participate in financial matters and supervise the working through MIS etc.

It is required for Working Capital of the Company. The Company has orders in hand of worth 100Mn. To execute the orders they need to procure material, increase manpower. The existing working capital of the company is negative i.e. creditors are more than the Debtors and Stock because of an abnormal loss in one year about 6 years' back. The Company need to fix this and improve its working capital situation.
With increase in scale of operations, the company will have more economy of scale and can achieve ROI in range of 10% before taxes.
